This Supplier Code of Conduct reflects NewBreed Global's commitment to integrity, transparency, responsible global trade, trusted logistics coordination, and execution.
Purpose
NewBreed Global believes that successful global trade is built upon trusted relationships.
We seek to establish long-term partnerships with suppliers, transportation providers, vessel owners, vessel operators, freight forwarders, terminal operators, inspection companies, consultants, and other business partners who share our commitment to professionalism, ethical conduct, and responsible business practices.
This Supplier Code of Conduct establishes the minimum standards we expect from organizations that support or work alongside NewBreed Global.
Scope
This Code applies to organizations and individuals providing products or services to NewBreed Global, including but not limited to:

Suppliers are expected to conduct business honestly, ethically, and professionally.
Suppliers shall:

Conduct business fairly.
Avoid deceptive or misleading business practices.
Maintain accurate records.
Honor contractual commitments.
Communicate truthfully and transparently.
Compliance with Laws
Suppliers are expected to comply with all applicable laws relating to:
International trade
Transportation
Maritime operations
Customs requirements
Export controls
Economic sanctions
Environmental regulations
Labor laws
Anti-corruption legislation
Anti-Bribery & Anti-Corruption
NewBreed Global expects suppliers to maintain zero tolerance for:
Bribery
Kickbacks
Facilitation payments
Fraud
Commercial corruption
Improper gifts intended to influence business decisions
Business relationships should be based solely upon legitimate commercial merit.
Human Rights
Suppliers are expected to respect internationally recognized human rights.

Suppliers are encouraged to operate responsibly by:

Suppliers frequently receive commercially sensitive information.
Suppliers are expected to:
Protect confidential information.

Confidentiality obligations continue even after the business relationship ends where required by contract or law.
Due Diligence
NewBreed Global may conduct reasonable due diligence before establishing or continuing commercial relationships.

Financial stability
Industry experience
Professional references
Risk considerations
Participation in due diligence does not guarantee approval or continued engagement.
Reporting Concerns
Suppliers are encouraged to promptly report suspected:

Unsafe practices
Reports will be handled responsibly and, where appropriate, in accordance with NewBreed Global's Compliance & Reporting Policy and Whistleblower Policy.

Compliance with this Code
Failure to meet the principles outlined in this Supplier Code of Conduct may be considered when evaluating existing or future business relationships.
Depending on the circumstances, NewBreed Global may request corrective action, suspend engagements, or discontinue business relationships where significant ethical, legal, or operational concerns exist.
